Payment Terms

• Invoices are typically due within 30 days unless otherwise specified
• Late payments may incur interest charges of 1.5% per month
• Work may be suspended for overdue accounts

Modifications and Changes

Changes to project scope must be agreed upon in writing and may result in additional charges. We reserve the right to adjust pricing for additional work beyond the original scope.

Our Intellectual Property

All content, software, designs, text, graphics, and other materials on our website and in our services are owned by Syndicate AI Solutions or our licensors and are protected by intellectual property laws.

Client Work Product

Upon full payment, clients will own the custom work product specifically created for them, subject to:

• Our retention of rights to underlying tools, frameworks, and methodologies
• Our right to use general knowledge and experience gained during the project
• Third-party licenses that may apply to certain components

License to Use

We grant you a limited, non-exclusive, non-transferable license to use our services for their intended purpose. This license terminates upon breach of these Terms or termination of services.

Client Data

When working with client data, we will:

• Maintain strict confidentiality and security measures
• Process data only as necessary to provide services
• Comply with applicable data protection laws including Virginia VCDPA
• Return or delete client data upon project completion as agreed

Service Disclaimers

Our services are provided "as is" and "as available." We make no warranties, express or implied, regarding:

• Uninterrupted or error-free operation
• Specific business results or outcomes
• Compatibility with all systems or software
• Complete security against all threats

Limitation of Liability

To the maximum extent permitted by law, our total liability for any claims arising from or related to these Terms or our services shall not exceed the amount paid by you for the specific service giving rise to the claim.

Excluded Damages

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Termination Rights

Either party may terminate these Terms or any service agreement:

• With 30 days written notice for convenience
• Immediately for material breach that remains uncured after 15 days notice
• Immediately if the other party becomes insolvent or files for bankruptcy

Effect of Termination

Upon termination, all rights and obligations cease except those that by their nature should survive, including payment obligations, confidentiality, and intellectual property provisions.

Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict of law principles.

Dispute Resolution Process

Any disputes will be resolved through the following process:

1. Good faith negotiation between the parties
2. Mediation through a mutually agreed mediator
3. Binding arbitration under Virginia law if mediation fails

Jurisdiction

Any legal proceedings must be brought in the state or federal courts located in Virginia, and you consent to the personal jurisdiction of such courts.

Entire Agreement

These Terms, together with our Privacy Policy and any executed service agreements, constitute the entire agreement between you and Syndicate AI Solutions.

Modifications

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website. Your continued use constitutes acceptance of the updated Terms.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Force Majeure

Neither party will be liable for any failure to perform due to causes beyond their reasonable control, including natural disasters, government actions, or other unforeseeable circumstances.
